These Terms of Service (“Terms”) govern your access to and use of the AlphaLex Bar Review Center platform, website, learning management system, mobile applications, content, and related services (collectively, the “Platform”), owned and operated by AlphaLex Bar Review Center (“AlphaLex,” “we,” “us,” or “our”).
By registering for, accessing, or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use the Platform.
1. Nature of Services
AlphaLex Bar Review Center is an educational institution and bar review provider offering online and/or hybrid learning services, including but not limited to:
- Recorded and live video lectures
- Review notes, syllabi, outlines, and study materials
- Assessments, quizzes, mock exams, and analytics
- Community, mentoring, and career-related services
AlphaLex does not guarantee passing the Bar Examinations. Outcomes depend on the user’s effort, discipline, and compliance with study programs.
2. Eligibility and Account Registration
To register and use the Platform, you must have graduated from a recognized University or Law School authorized to confer the degrees of Juris Doctor, Bachelor of Laws, or its equivalent in accordance with the requirements of the Supreme Court, or you have a bona fide expectation to graduate and take the upcoming bar examinations.
You agree to:
- Provide accurate, complete, and current information during registration
- Maintain the confidentiality of your login credentials
- Be solely responsible for all activities conducted under your account
You acknowledge that each account is strictly personal and non-transferable.
3. License to Use the Platform
Subject to these Terms, AlphaLex grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for your personal bar review and educational purposes.
This license does not include:
- Any right to reproduce, distribute, sell, sublicense, or commercially exploit any content
- Any ownership rights over AlphaLex intellectual property
4. Intellectual Property Rights
All content on the Platform—including but not limited to video lectures, audio recordings, slides, review materials, written content, logos, trademarks, software, and system architecture—is the exclusive intellectual property of AlphaLex or its licensors and is protected under:
- Republic Act No. 8293 (Intellectual Property Code of the Philippines), as amended
- Republic Act No. 10175 (Cybercrime Prevention Act of 2012)
- International copyright treaties
All rights are reserved.
5. Strict Prohibition Against Piracy and Unauthorized Use
You shall not, directly or indirectly:
- Download, record, screen-capture, reproduce, copy, or store any lecture or material without express written consent
- Share, upload, stream, distribute, sell, lend, or make available any AlphaLex content to any third party
- Use screen-recording software, camera devices, mirrors, bots, or automation tools to capture content
- Circumvent or attempt to circumvent any technological protection measures
- Use the Platform for any purpose other than personal learning
Any unauthorized use, reproduction, or distribution constitutes a material breach of these Terms and may give rise to civil, administrative, and criminal liability under applicable laws.
AlphaLex adopts a zero-tolerance policy against piracy.
6. Account Sharing and Credential Misuse
Account sharing is strictly prohibited.
You expressly agree that:
- Your account may only be accessed and used by you alone, subject to the devices registration and recognition protocol of the Platform
- You shall not share your username, password, access links, or login credentials with any other person
- You shall not allow another person to view, access, or use AlphaLex content through your account
AlphaLex employs monitoring, access-pattern detection, and security measures to identify suspicious or unauthorized access.
Any form of account sharing, credential misuse, or circumvention:
- Will result in immediate termination of access without refund
- May result in permanent disqualification from AlphaLex services
- May constitute a criminal offense under Philippine law, which AlphaLex reserves the right to pursue to the fullest extent allowed by law, including referral to law enforcement authorities
7. Enforcement and Remedies
In case of violation, AlphaLex reserves the right to:
- Suspend or terminate your account immediately
- Disable access to all or part of the Platform
- Remove or restrict access to content
- Pursue civil action for damages, injunctions, and attorney’s fees
- Initiate criminal complaints where warranted
These remedies are cumulative and do not waive any other rights under law.
8. Payments, Fees, and Refunds
All fees are clearly disclosed prior to enrollment.
Unless otherwise stated:
- Fees are non-refundable
- Access is granted only upon confirmed payment
- Promotional rates, discounts, or scholarships are subject to specific terms
AlphaLex reserves the right to modify pricing, packages, and offerings with notice.
9. Platform Availability and Modifications
AlphaLex may update, modify, suspend, or discontinue any part of the Platform at any time to improve quality, security, or compliance.
We do not guarantee uninterrupted or error-free access.
10. User Conduct
You agree not to:
- Post or transmit unlawful, abusive, defamatory, or disruptive content
- Interfere with Platform security or operations
- Harass instructors, staff, or other users
- Use the Platform in any manner inconsistent with its educational purpose
Violations may result in suspension or termination.
11. Disclaimer and Limitation of Liability
The Platform and content are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, AlphaLex shall not be liable for:
- Failure to pass the Bar Examinations
- Technical interruptions or data loss
- Indirect, incidental, or consequential damages
12. Data Privacy
AlphaLex processes personal data in accordance with the Data Privacy Act of 2012 (RA 10173) and its Privacy Policy.
13. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
Any dispute shall be filed exclusively before the proper courts of Makati City, Philippines, to the exclusion of all other venues.
14. Amendments
AlphaLex may revise these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

16. Recommended Browser and Internet Connectivity
For the best possible experience on the AlphaLex Bar Review Center Platform, we highly recommend:
- Using Google Chrome as your default web browser
- Using a Gmail account to gain access to Google Suite’s functionalities
- Maintaining a stable internet connection of at least 10 Mbps
Certain Platform functionalities—such as video playback, live sessions, quizzes, or interactive features—may not load correctly or fully if a different browser is used or if your internet connectivity is below the recommended speed.
AlphaLex shall not be liable for any technical issues, incomplete loading of content, or suboptimal user experience resulting from the use of unsupported browsers or inadequate internet connectivity. Users are responsible for ensuring that their system and network meet the recommended requirements.
17. Access to Google Drive and Google Calendar
To provide certain features and services, the Platform may require access to your Google Drive and Google Calendar. By using the Platform, you expressly grant AlphaLex Bar Review Center a limited, revocable authority to:
- Access, store, and manage files or folders on your Google Drive that are necessary for the Platform’s functionality (e.g., uploading, saving, or retrieving course materials or assignments)
- Access and manage events on your Google Calendar that are necessary for scheduling classes, reminders, or assessments
This access is strictly limited to the functionality required for the Platform to operate and does not authorize AlphaLex to access other unrelated files or calendar data.
You retain the right to revoke access at any time through your Google account settings; however, revoking access may limit or disable certain Platform functionalities, and AlphaLex shall not be liable for any loss of service or data resulting from such revocation.
18. Recommended Device for Optimal Experience
For the best possible experience on the AlphaLex Bar Review Center Platform, we highly recommend using a desktop or laptop computer rather than a smartphone or tablet.
Certain Platform functionalities—such as viewing lecture videos, completing assessments, participating in live sessions, or accessing interactive study tools—may not perform optimally on mobile devices or tablets.
AlphaLex shall not be liable for any limitations, incomplete loading of content, or suboptimal user experience resulting from the use of a smartphone or tablet. Users are responsible for ensuring that their device meets the recommended requirements to fully utilize the Platform.
